These Terms of Service govern your access to and use of the VerifyDirector website and services. VerifyDirector is a trading name of HELPAYMENTS LTD. By purchasing or using our services, you agree to these terms.

2. Scope of Services

VerifyDirector provides professional assistance for Companies House identity verification, Personal Code application support, and company filing identity linking. Our services may include:

  • Reviewing your submitted information and supporting documents.
  • Verifying your identity as a Companies House Authorised Corporate Service Provider (ACSP).
  • Preparing and supporting Personal Code applications.
  • Assisting with identity linking for incorporation, Confirmation Statement, and related company filing scenarios.
  • Providing updates and support related to your application process.

We act as a service provider and Companies House authorised ACSP where applicable. We do not guarantee that Companies House or any third party will approve a filing or complete a verification by a specific date.

3. Identity Verification & Anti-Money Laundering

As a Companies House Authorised Corporate Service Provider, we are legally required to verify your identity before providing certain services. By using our services, you agree to provide accurate identity documents and to complete any know-your-customer (KYC) checks we request.

We may pause, decline, or terminate a service — and may be required to make a report to the relevant authorities — where we are unable to verify your identity or where we have reasonable concerns relating to fraud, money laundering, or other unlawful activity. We are not liable for any loss arising from action we reasonably take to comply with our legal obligations.

4. Client Responsibilities

To receive our services, you agree to the following responsibilities:

  • Provide accurate, complete, and truthful information at all times.
  • Submit valid supporting documents and identification records where required.
  • Respond promptly to requests for additional information from us, Companies House, or verification providers.
  • Review your application materials before submission and confirm that the information is correct.
  • Use our website and services only for lawful purposes.

You are solely responsible for the accuracy of the information you provide. We are not responsible for errors, delays, or rejections caused by false, incomplete, inconsistent, or outdated information supplied by you.

5. Fees and Payment

Service fees are displayed on our website or checkout page at the time of purchase. By placing an order, you agree to pay the listed fees for the selected service package.

Payment is processed by third-party payment providers. We do not store your complete payment card information on our servers.

All prices, service features, and processing targets are subject to change at any time, but such changes will not affect orders already paid for.

6. Refunds and Cancellations

Refunds and cancellations are governed by our Refund & Service Policy. By purchasing our services, you acknowledge and agree that the refund terms set out in that policy form part of these Terms of Service.

Once work has begun on your request or your identity verification support has been reviewed or submitted, refunds may be limited or unavailable in accordance with our refund policy.

7. Processing Times and No Guarantee of Approval

We may provide estimated preparation and submission timeframes based on the service package you purchase. These estimates apply only to our internal service process.

Companies House and third-party review times are outside our control. We are not responsible for delays caused by government backlogs, platform availability, or requests for additional documentation.

We do not represent, warrant, or guarantee approval of any company filing or identity verification outcome. Decisions are made by Companies House or the relevant authority.

8. Use of Website

You agree not to misuse our website, interfere with its operation, attempt unauthorised access to our systems, or use the website for fraudulent, unlawful, or abusive purposes.

9. Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the maximum extent permitted by law, VerifyDirector shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability for any claim arising out of or relating to our services shall not exceed the amount you paid to us for the specific service giving rise to the claim.

10. Privacy and Data Protection

Your use of our services is also subject to our Privacy Policy, which explains how we collect, use, store, and protect your information.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer.
